Purchase Terms and Conditions

These Purchase Terms and Conditions (the “Terms”) govern all orders placed with Thungos LLC, operating as MUTORYX (“MUTORYX,” “we,” “us,” or “our”), through mutoryx.com, mutoryx.com, and any other ordering channel operated by MUTORYX. By placing an order, you (“Buyer”) agree to these Terms in full. If you do not agree, do not place an order.

1Research Use Only

All products sold by MUTORYX are supplied for laboratory and research use only. They are not for human or veterinary use, are not intended for diagnostic or therapeutic procedures, and have not been evaluated by the FDA. By purchasing, Buyer confirms Buyer is an investigator or licensed laboratory acquiring products exclusively for in vitro and laboratory research.

Buyer is solely responsible for the lawful handling, storage, use, and disposal of all products in accordance with all applicable laws, regulations, and institutional requirements governing Buyer’s activities.

Buyer will not resell, transfer, or supply any product for human or animal consumption, for use as a food, supplement, drug, or cosmetic, or for any purpose involving administration to a person or animal.

2Eligibility and Buyer Qualification

Purchases are limited to Buyers who: (a) are at least 21 years of age; (b) confirm investigator or licensed-laboratory status; and (c) accept these Terms. MUTORYX operates a manual qualification and approval process and reserves the right, at its sole discretion, to approve, decline, limit, or revoke access to purchasing for any Buyer, with or without stated cause.

Buyer represents that the information provided at registration, at checkout, and in any order is accurate and that Buyer is authorized to place the order and to use the payment method selected. Providing false or misleading eligibility information is a breach of these Terms and grounds for cancellation of any order and removal of access.

3Product Handling and Safety

Products may present chemical, physical, or biological hazards. Buyer is responsible for assessing those hazards before use and for implementing appropriate laboratory controls, containment, protective equipment, and personnel training.

Buyer is responsible for storage, labeling, transport within Buyer’s facility, and lawful disposal of products and of any material derived from them, in accordance with applicable safety, environmental, and institutional requirements.

MUTORYX supplies material only. It does not supervise, direct, or control Buyer’s facilities, protocols, methods, or personnel, and accepts no responsibility for any outcome arising from Buyer’s laboratory practice.

4Orders, Acceptance, and Pricing

An order submitted through the site or through an order-request form is an offer to purchase. An acknowledgment or confirmation message records that the order was received and does not constitute acceptance. An order is accepted only when MUTORYX confirms acceptance or dispatches the product, whichever occurs first.

MUTORYX may decline, limit, or cancel any order in whole or in part at its sole discretion, including where the product is unavailable, where the Buyer does not meet the eligibility requirements in Section 2, where fraud or abuse is suspected, or where an order conflicts with these Terms.

Prices are stated in US dollars and are subject to change without notice. Price changes do not affect an order that has already been accepted.

Prices, availability, product descriptions, and specifications displayed on the site are generated from internal records and may contain errors. Where a product is listed at an incorrect price or with incorrect information, MUTORYX may cancel the affected order even if it has been confirmed or paid, and will refund any amount received for the cancelled order. MUTORYX is not obliged to supply a product at an incorrectly published price.

5Payment

Payment must be received and verified in full before an order is processed or dispatched. Available payment methods are displayed at checkout and may change at any time.

Certain payment methods are completed through an external payment provider. Where Buyer is directed to an external provider, that transaction is subject to the provider’s own terms, and MUTORYX does not receive or store payment card details.

Where proof of payment is required, the order is not processed until that proof is received and verified.

6Promotional Codes, Waitlist Offers, and Affiliate Participation

Promotional codes

Promotional codes are issued at the sole discretion of MUTORYX. They carry no cash value, cannot be exchanged for cash or credit, cannot be transferred or sold, and cannot be applied to a completed order. One code may be applied per order. Codes do not combine or stack with one another.

Each code may carry its own eligibility conditions, including a minimum order value, an expiry date, a limited number of redemptions, and a restriction to named products or product groups. A code that does not meet its conditions at the time of use will be declined.

Waitlist offers

Where a product is unavailable, Buyer may join a notification list. Joining the list is not an order, creates no obligation on either party, and reserves no stock.

When the product becomes available, MUTORYX may issue a single-use code to the person who joined the list. That code is issued to that person alone, is valid for the product it was issued against, and expires seven days after it is issued. Where stock is exhausted before the code is used, the code lapses and the person may rejoin the list.

One identity per person

Codes and offers are issued per person, not per account or per email address. Duplicate, linked, or related accounts, and variations of the same address including tagged aliases, are treated as a single identity. Creating additional accounts or identities, or supplying false information, in order to obtain further codes is prohibited.

Withdrawal and recovery

MUTORYX may modify, suspend, or withdraw any code or programme at any time. MUTORYX may decline, void, or reverse a code before or after it has been applied where the code was obtained or used in connection with fraud, abuse, a duplicate or misrepresented identity, a technical or pricing error, or a breach of these Terms. Where a voided code has already reduced the amount paid, MUTORYX may recover the difference, require payment of it before dispatch, or cancel the order and refund the amount received.

Affiliate participation

Participation in any MUTORYX affiliate or referral programme is by separate agreement and at the sole discretion of MUTORYX. Commission is earned only on a qualifying purchase that is completed and paid for, is calculated on the amount actually paid excluding shipping and taxes, and becomes payable only once that payment has cleared.

No commission is earned on an affiliate’s own purchase. Self-referral, undisclosed self-dealing, manipulation of attribution, creation of additional identities, or misrepresentation of MUTORYX or its products terminates participation, forfeits unpaid commission, and permits recovery of commission already paid on affected orders.

7All Sales Final

All sales are final. MUTORYX does not offer refunds. The sole remedy available to Buyer is product replacement, and only under the specific conditions set out in Section 5. The damaged or contaminated product must be returned as a condition of any replacement.

8Replacement Policy

MUTORYX is responsible for the condition of the product up to and at the point of delivery, in its sealed and unmixed state. Replacement is available only for defects present on arrival or attributable to the product itself, and not for any condition arising after the product is opened, reconstituted, mixed, or stored by Buyer. This limited replacement right is the sole remedy available under these Terms and operates as an exception to Section 12.

Replacement covers the following product-attributable defects:

  • The product arrived compromised, including a broken vial, damaged or breached seal, leakage, or contamination present on delivery.
  • The product fails to reach clarity when properly reconstituted, where cloudiness or particulate indicates a product defect rather than a handling error.
  • The product turns to gel, crystallizes, or otherwise degrades while held under correct cold storage conditions.
  • The product shows evidence that it was not sealed under proper vacuum at the point of shipping.

Replacement does NOT cover failures caused by Buyer’s own handling, including:

  • Improper reconstitution, including incorrect technique, incorrect diluent, or an incorrect bacteriostatic water ratio.
  • Failure to refrigerate or store the product according to instructions after receipt.
  • Contamination introduced during Buyer’s own mixing, handling, or laboratory process.
  • Degradation resulting from Buyer’s storage conditions rather than the product’s condition on arrival.

The dividing line: MUTORYX is responsible for the product’s sealed, unmixed condition at delivery. Once Buyer opens, reconstitutes, mixes, or stores the product, responsibility for the outcome passes to Buyer.

9Replacement Claims and Evidence

To request a replacement, Buyer must submit a claim within 30 days of delivery. A valid claim requires all of the following:

  • Dated photographic evidence of the defect.
  • Dated video evidence of the defect.
  • Return of the physical product to MUTORYX.

Claims submitted after 30 days, or without the required dated evidence and product return, will not be eligible for replacement. MUTORYX reviews each claim and determines validity at its reasonable discretion based on the evidence provided and the conditions in Section 8.

Where a claim concerns a defect visible on arrival, Buyer should photograph the shipment before opening or moving the contents. Retain the outer packaging until the claim is resolved.

On a validated claim, MUTORYX covers the cost of return shipping and sends the replacement product at no additional cost to Buyer.

10Shipping, Transit, and Risk of Loss

Buyer is responsible for providing accurate and complete delivery information. MUTORYX is not responsible for a delivery failure caused by an incorrect or incomplete address supplied by Buyer.

Once a shipment has been handed to the carrier, transit times, tracking updates, and delivery are outside the control of MUTORYX. Delivery estimates are estimates and are not guaranteed. MUTORYX is not responsible for carrier delays, missed or delayed tracking scans, customs actions, or any other delivery outcome outside its control.

If an order is lost in transit, or is held, delayed, or seized in customs, MUTORYX will reship the order one time at Buyer’s cost. Where a shipment appears delayed or lost, MUTORYX will make reasonable efforts to assist with locating it or with the carrier’s claims process.

Order cutoff. Orders with confirmed payment received by 2:00 PM Mountain Time are processed the same business day. Orders confirmed after 2:00 PM Mountain Time are processed the next business day. Payment must be confirmed before an order enters processing.

Delivery target. MUTORYX targets delivery within two business days of payment confirmation. This is a target, not a guarantee, and remains subject to the carrier conditions described above.

Regions served. MUTORYX ships to the United States and United States territories only. Orders to destinations outside these regions will not be accepted or fulfilled.

Shipping charges. Shipping is a flat rate of $15.70 per order. Shipping is free on orders totaling more than $200.

Prices and taxes. All prices are shown in US dollars. Prices do not include sales or use tax. MUTORYX does not collect sales tax on orders. Any tax obligation arising from a purchase is the responsibility of Buyer.

11Shipping Availability

MUTORYX ships only to jurisdictions available at checkout. Orders cannot be placed or completed from jurisdictions that are not available at checkout. Where a jurisdiction is unavailable, no order will be accepted or fulfilled. Availability is determined by MUTORYX and may change at any time.

12Disclaimer of Warranties

Products are supplied as is. To the maximum extent permitted by law, MUTORYX makes no warranties of any kind, express or implied, including any implied warranty of merchantability, fitness for a particular purpose, or non-infringement.

MUTORYX does not warrant that any product will produce a particular result, is suitable for any specific protocol or application, or will perform in the conditions of Buyer’s laboratory. Determining suitability is Buyer’s responsibility.

Information published on the site, including descriptions, specifications, and research summaries, is provided for information only. It is not a warranty, not a specification guarantee, and not medical, scientific, or professional advice.

The limited replacement right in Section 8 is the only exception to this Section and is the sole remedy available to Buyer.

13Limitation of Liability

To the maximum extent permitted by law, the total liability of MUTORYX arising from or related to any order is limited to the amount actually paid by Buyer for the specific product giving rise to the claim.

MUTORYX is not liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profit, revenue, data, research, or opportunity, whether or not MUTORYX was advised that such loss was possible.

MUTORYX is not liable for any outcome arising from Buyer’s handling, storage, reconstitution, dilution, mixing, administration, resale, or disposal of any product, or from Buyer’s laboratory conditions, protocols, or personnel.

14Indemnification

Buyer will indemnify, defend, and hold harmless MUTORYX, its affiliates, and their officers, employees, and agents from and against any claim, demand, action, loss, damage, liability, penalty, cost, or expense, including reasonable legal fees, arising out of or related to:

  • Buyer’s handling, storage, use, reconstitution, transfer, resale, or disposal of any product;
  • Any administration of a product to a person or animal, whether by Buyer or by anyone who obtained the product from Buyer;
  • Buyer’s breach of these Terms or of any representation made under them;
  • Buyer’s violation of any applicable law, regulation, or institutional requirement; and
  • Any claim brought by a third party arising from any of the above.

This obligation survives completion of the order and any termination of Buyer’s access to purchasing.

15Communications and Use of Information

Transactional messages

MUTORYX sends messages necessary to complete an order, including confirmations, payment and verification requests, dispatch and tracking notices, and availability notifications requested through the waitlist. These are not marketing and are sent regardless of marketing preferences.

Marketing messages

Marketing messages are sent only to Buyers who have opted in. Consent is voluntary and is not a condition of purchase. Buyer may withdraw consent at any time using the unsubscribe mechanism in any marketing message, or by contacting MUTORYX at contact@mutoryx.com. Withdrawing consent does not affect transactional messages.

Content Buyer chooses to share

Where Buyer voluntarily submits a testimonial, review, image, or research feedback to MUTORYX, Buyer grants MUTORYX a non-exclusive, royalty-free right to reproduce and display that content in connection with MUTORYX and its products. Buyer may request removal at any time by contacting MUTORYX, and MUTORYX will cease further use within a reasonable period.

MUTORYX will not sell Buyer’s contact details to a third party for that third party’s own marketing.

16Intellectual Property

The MUTORYX name, logo, site content, product photography, written descriptions, research summaries, and page design are the property of MUTORYX or its licensors and are protected by intellectual property law.

Buyer may not copy, reproduce, republish, scrape, or distribute any part of the site or its content for commercial purposes without prior written permission. Nothing in these Terms transfers any intellectual property right to Buyer.

17Governing Law and Disputes

These Terms are governed by the laws of the State of Utah, without regard to conflict-of-law principles. Any dispute arising under these Terms will be resolved in the courts or through the dispute-resolution process specified by MUTORYX.

18Severability and Entire Agreement

If any provision of these Terms is found unenforceable, that provision will be limited or removed to the minimum extent necessary and the remaining provisions will continue in full force.

A failure by MUTORYX to enforce any provision on one occasion does not waive the right to enforce it later. These Terms, together with any separate agreement governing affiliate participation, are the entire agreement between the parties in relation to an order and supersede any prior understanding.

19Changes to These Terms

MUTORYX may update these Terms at any time. The version in effect at the time of Buyer’s order governs that order. Continued purchasing after an update constitutes acceptance of the revised Terms.

21Acceptance

By placing an order with MUTORYX, Buyer acknowledges that Buyer has read, understood, and agreed to these Purchase Terms and Conditions.
